A U.S. cannabis company, Curaleaf Holdings Inc., has made a bid to acquire Aurora Cannabis Inc., based in Edmonton. Aurora has formed a special committee to review this unsolicited offer. Curaleaf aims to create a combined cannabis entity with operations in 17 countries across Europe, North America, and other global markets.

The offer proposes paying Aurora shareholders $4 US per share, along with an additional $0.75 US in cash for each share. While Curaleaf claims that Aurora has been unresponsive to their proposals, Aurora stated that it has been open to dialogue, as confirmed by correspondence between their lead independent director and Curaleaf’s CEO as recent as July 24.

Aurora will now evaluate the proposal through a special committee of independent directors to determine its alignment with stakeholders’ interests. The company emphasized that there is no certainty of a deal being finalized and that business operations will continue as usual in the interim.

Despite Curaleaf’s interest, analysts believe that the current offer undervalues Aurora’s long-term business potential. They highlighted Aurora’s market leadership in medical cannabis, strong product portfolio, financial stability, and ability to navigate international regulations as factors that could create substantial value over time.

Curaleaf expressed confidence that merging with Aurora would bring significant benefits, leveraging Curaleaf’s global distribution network with Aurora’s established international medical cannabis presence. The combined revenue of the two companies over the last year exceeded $1.5 billion US, with Curaleaf anticipating annual cost synergies of at least $40 million US from the proposed acquisition.

Curaleaf sees the merger as advantageous for both sets of shareholders, offering the opportunity to be part of a diversified global platform and benefit from favorable U.S. regulatory developments.
